Terms of Service
The agreement between you and Omnitics Technologies Pvt. Ltd. for using RunwayDue.
In effect since 24 August 2026.
The agreement
These terms are between you — the business using RunwayDue — and Omnitics Technologies Pvt. Ltd., registered at C2-303, Sheth Midori, Hanuman Tekdi, Shiv Vallabh Road, Dahisar East, Mumbai 400068, Maharashtra, India. Creating an account means you accept them. If you are accepting on behalf of a company, you are confirming you are allowed to.
You must be old enough to enter a contract where you live, and you must be using RunwayDue for a business rather than as a consumer.
What we provide
RunwayDue is software for sending proposals, collecting electronic signatures, issuing invoices, chasing payment and keeping books. We host it and keep it running. We do not provide accounting, tax or legal advice, and nothing the product generates — a GST calculation, a tax summary, a contract template — is advice. Your accountant is the person who signs off on your numbers.
We improve the product continuously, which sometimes means changing how something works. If a change removes something you rely on, we will tell you before it happens.
Your account
- Keep your password to yourself, and use one you do not use anywhere else.
- You are responsible for what the people you invite do in your workspace. Roles let you limit that; use them.
- Tell us promptly if you think somebody has got into your account. Changing your password signs out every device, which is the fastest thing you can do while you wait for us.
- Everything you and your team put in is yours. We do not claim ownership of any of it.
What you must not do
- Break the law with it, or help somebody else to.
- Send unsolicited bulk email through it. It is for invoicing your own clients, not for marketing to a list.
- Invoice for something you are not entitled to invoice for, or use it to impersonate another business.
- Upload malware, or anything you do not have the right to send.
- Attack the service, try to reach another customer's data, or take it apart to rebuild it. If you find a security problem, tell us — we will thank you, not threaten you.
- Resell access, or run it as a service for other businesses, without agreeing that with us first.
If something here is being abused we may suspend the account doing it. We will tell you why, and we will not delete anything.
Electronic signatures
A signature captured here is an electronic signature: a named person, using a private link sent to their email address, agreeing to sign, with the date, time, network address and browser recorded and attached to the finished document as a certificate of completion.
It is not a digital signature certificate, and it does not verify identity
We confirm that whoever holds the link — and any access code the sender shared separately — acted on it. We do not check identity documents, send one-time codes to a phone, or ask knowledge-based questions. A digital signature in the sense the Indian Information Technology Act uses the term is cryptographic, issued by a licensed Certifying Authority or through Aadhaar eSign; this is a different thing, and we do not do it or claim to.
Some documents cannot be signed electronically at all. Under the First Schedule to the Information Technology Act, 2000 those include negotiable instruments other than cheques, powers of attorney, trusts, wills, and contracts for the sale or conveyance of immovable property. Requirements differ by country and by document, and deciding whether an electronic signature is sufficient for a particular document is yours to make — take advice if you are unsure.
We keep the audit trail for as long as your account exists and we never alter it. We are not a party to anything you sign, and we take no position on whether an agreement made through the product is valid or enforceable.
Your clients' data
When you store information about your clients here, you decide what is collected and why; we hold it on your instructions and process it only to run the product for you. You confirm you are entitled to give us that information, and that you have told the people concerned whatever your own privacy notice requires.
If your client asks you to correct or delete something, do it in the product — or write to support@runwaydue.com if it is something you cannot reach. We will not act on a request from your client directly without checking with you first, because they are your relationship rather than ours.
Plans, trials and payment
- The free plan is free, with limits on how many clients you can keep and how many documents you can send in a month. It does not expire.
- A trial lasts 14 days and needs no card. When it ends you drop to the free plan — not to a paywall, and not to a locked account.
- You pick a plan in the app and it records the order. Because no payment provider is connected yet, we then take payment and move you across by hand, and we tell you exactly what you are paying for before anything is charged.
- Prices exclude taxes unless we say otherwise. Where GST applies we charge it.
Reaching a limit never takes anything away
If you use up a month's document allowance or hit a client limit, you cannot add more until the next period or until you move up a plan. Everything already there keeps working — you can still open it, send it, take payment against it and print it. Nothing is hidden behind an upgrade prompt and nothing is deleted.
Cancelling and leaving
Cancel it yourself in Settings → Plan, or stop paying, and the workspace moves to the free plan at the end of the period you have paid for. Everything stays: every invoice, proposal, agreement and signed document is still there, still openable and still sendable, and you can still take payment against any of it. The self-service export in Settings → Data is part of the paid plans, so it stops — but your right to your own data does not depend on paying us. Ask, on any plan, and we will send you the lot as ordinary CSV files plus the original documents, readable without any software of ours, which is the point.
If you want it gone rather than dormant, an owner can do it: Settings → Data → "Delete this workspace", which asks for the workspace name and your password and then erases everything, including any account for which this was the only workspace. Or email support@runwaydue.com from the account address and we will delete it by hand within 30 days — which is also the route if you want only part of it removed. Take a copy first, either way: deletion is permanent. If the export is not on your plan, ask for your data before you delete anything and we will send it.
We may close an account that is being used to break the law or to attack the service. Short of that, we will not close yours, and going quiet is not a reason.
Availability
We do not offer a service level agreement
We work to keep RunwayDue available and we take backups and have rehearsed restoring from them, but we do not promise a percentage of uptime and we do not pay service credits. We would rather say that than publish a number we have not committed to standing behind. Keep your own copy of anything you cannot afford to lose: export it yourself on a paid plan, or ask us on any plan and we will send it.
Maintenance, upstream outages and problems at our hosting or mail providers can all interrupt the service. Email delivery in particular depends on the receiving side, and we cannot guarantee that a message reaches an inbox rather than a spam folder.
Liability
RunwayDue is provided as it is. To the extent the law allows, we exclude implied warranties, and we are not liable for lost profits, lost business, or indirect or consequential loss.
Where we are liable, our total liability for all claims in any twelve-month period is limited to what you paid us in that period, or ₹10,000 if you paid us nothing.
Nothing here excludes liability that cannot lawfully be excluded — including for fraud, or for death or personal injury caused by negligence.
Indemnity
If somebody brings a claim against us because of what you put into the product, what you sent through it, or your breach of these terms, you will cover our reasonable costs in dealing with it. We will tell you promptly, let you take over the defence, and not settle without asking you.
Changing these terms
We will email the address on your account before any change that matters takes effect. If you do not accept it, stop using RunwayDue and ask us to close the account — your data comes with you.
Law and disputes
These terms are governed by the laws of India, and the courts at Mumbai, Maharashtra have exclusive jurisdiction.
Before that: write to support@runwaydue.com. Almost everything is a misunderstanding that a reply fixes, and we would rather answer it than argue about it.
